IMPORTANT — READ CAREFULLY BEFORE INSTALLING OR USING THIS SOFTWARE.

This End User License Agreement ("Agreement") is a legal agreement between you
(an individual or a single legal entity, "Licensee") and Martin P. Heigan
("Licensor") for the software product mh_PLAYer, including all associated
executable code, data files, documentation, and related materials ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound
by the terms of this Agreement. If you do not agree to these terms, do not
install or use the Software.

1. GRANT OF LICENSE
--------------------------------------------------------------------------------

Subject to the terms of this Agreement and receipt of a valid license key,
Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable
limited right to install and use the Software, solely for Licensee's own
internal professional or personal use.

1.1  Individual License
An Individual license authorises use of the Software on a single computer,
identified by its network hardware address (MAC address). The license is bound
to the registered name, email address, and MAC address encoded in the key.

1.2  Studio License
A Studio license authorises use of the Software on any computer within the
licensed organisation. The license is not bound to a specific machine. Studio
licenses may not be transferred to a third party or used outside the licensed
organisation.

1.3  Studio Pro License
A Studio Pro license authorises use of the Software on any computer within the
licensed organisation, on the same terms as a Studio License, and additionally
unlocks the Studio Pro features of the Software -- the EDL / Multi-Clip
Timeline, Synced Remote Review, and Plugin Scripting. The license is not bound
to a specific machine. Studio Pro licenses may not be transferred to a third
party or used outside the licensed organisation.

1.4  Trial (Demo) License
A Trial license permits use of all Software functionality for a period of ten
(10) calendar days from the date of first successful license validation ("Trial
Period"). Upon expiry, licensed features are disabled until a permanent license
is obtained.

1.5  The license key and associated license.dat file are issued to a specific
name and email address. They are personal to the Licensee and may not be
transferred, shared, or used by any other individual or entity, except as
expressly permitted under a Studio or Studio Pro License.

1.6  Unlicensed Use
Certain core functions of the Software -- including image sequence and video
playback, display and colour management, and pipeline CLI modes -- are available
without a valid license key ('Unlicensed Use'). Unlicensed Use is permitted under
the terms of this Agreement. Features that require a valid license key are clearly
indicated within the Software. Unlicensed Use does not grant any right to the
licensed features described in Sections 1.1 through 1.5.

1.7  Plugin Authoring
Notwithstanding Sections 2.2 and 2.6, Licensee may write, use, and distribute
their own plugin scripts that interface with the Software through the published
mh_player_api module, and may copy and modify the bundled example and plugin
scripts for that purpose. Such plugins remain the property of their author. This
permission extends only to plugin scripts using the published API; it does not
permit modification, reverse engineering, or redistribution of the Software
itself, and running plugins requires a license with the Plugin Scripting feature
enabled.

2. RESTRICTIONS
--------------------------------------------------------------------------------

Licensee shall not, and shall not permit any third party to:

2.1  Copy, reproduce, distribute, publish, or make the Software or any part of
     it available to any third party, whether for commercial purposes or
     otherwise, without the prior written consent of Licensor.

2.2  Modify, adapt, translate, reverse engineer, decompile, disassemble, or
     create derivative works based on the Software or any part of it.

2.3  Remove, alter, or obscure any copyright notice, trademark, or other
     proprietary rights notice contained in or displayed by the Software.

2.4  Sub-license, rent, lease, loan, sell, or otherwise transfer the Software
     or any license key to any third party.

2.5  Use the Software in any manner that could damage, disable, overburden, or
     impair Licensor's services or reputation.

2.6  Use the Software to develop a competing product or service.

3. INTELLECTUAL PROPERTY
--------------------------------------------------------------------------------

The Software is the exclusive intellectual property of Martin P. Heigan. All
title and copyrights in and to the Software (including but not limited to any
images, text, code, and documentation incorporated into the Software) are owned
by Licensor. The Software is protected by copyright law and international treaty
provisions. All Rights Reserved.

This Agreement does not grant Licensee any ownership interest in the Software.
Licensee acquires only the limited right of use described herein.

4. LICENSE FILE AND KEY
--------------------------------------------------------------------------------

4.1  The license.dat file and associated key are issued exclusively to the
     registered Licensee and are tied cryptographically to the registered name,
     email address, license type, and (for Individual licenses) the MAC address
     of the licensed machine.

4.2  Licensee is responsible for safeguarding the license.dat file. Licensor
     may re-issue a license to the original registered Licensee upon verified
     request at no additional charge.

4.3  Any attempt to modify, forge, share, or circumvent the license validation
     mechanism constitutes a material breach of this Agreement and may
     constitute a criminal offence under applicable law.

5. NO WARRANTY
--------------------------------------------------------------------------------

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE ENTIRE RISK AS TO
THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH LICENSEE.

LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS,
THAT OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE
CORRECTED.

6. LIMITATION OF LIABILITY
--------------------------------------------------------------------------------

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR
BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL
DAMAGES (INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS
INTERRUPTION, OR LOSS OF PROFESSIONAL INFORMATION) ARISING OUT OF THE USE OF OR
INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL LICENSOR'S TOTAL LIABILITY TO LICENSEE EXCEED THE AMOUNT
ACTUALLY PAID BY LICENSEE FOR THE LICENSE UNDER WHICH THE CLAIM ARISES.

7. TERMINATION
--------------------------------------------------------------------------------

7.1  This Agreement is effective until terminated.

7.2  Licensor may terminate this Agreement immediately and without notice if
     Licensee breaches any term of this Agreement.

7.3  Upon termination, Licensee must cease all use of the Software and destroy
     all copies in Licensee's possession or control.

7.4  Sections 2, 3, 5, 6, and 8 survive termination of this Agreement.

8. GOVERNING LAW
--------------------------------------------------------------------------------

This Agreement shall be governed by and construed in accordance with the laws of
the Republic of South Africa, without regard to its conflict of law provisions.
Any dispute arising under this Agreement shall be subject to the exclusive
jurisdiction of the courts of South Africa.

9. ENTIRE AGREEMENT
--------------------------------------------------------------------------------

This Agreement constitutes the entire agreement between Licensor and Licensee
with respect to the Software and supersedes all prior or contemporaneous
understandings, representations, or agreements, whether written or oral,
relating to its subject matter.

If any provision of this Agreement is held to be unenforceable, that provision
shall be modified to the minimum extent necessary to make it enforceable, and
the remaining provisions shall continue in full force.
